JXPERU press and broadcast material licence

1. WHO THIS IS BETWEEN
This licence is between Root Access Music of Nairobi, Kenya ("we", "us"), the
owner of the JXPERU recordings, artwork, photographs and logos ("the
Material"), and you, the person accepting these terms ("you"). If you are
accepting on behalf of a station, publication, agency or other organisation,
you confirm you are authorised to bind that organisation, and "you" means
that organisation.
2. WHAT YOU MAY DO
We grant you a limited, non-exclusive, non-transferable, revocable licence to
use the Material only for the purpose you stated when you requested it, and
only for as long as that purpose lasts. Typically that means:
(a) broadcasting or streaming the recordings as part of your programming;
(b) reviewing, previewing or reporting on a release;
(c) advertising a JXPERU performance you have booked;
(d) illustrating an interview, article or listing about JXPERU.
3. WHAT YOU MAY NOT DO
You may not:
(a) upload, distribute or make the recordings available on any streaming
service, store, download site or social platform as a release;
(b) use the Material in an advertisement, film, television programme, game,
podcast theme or any other production. That is a synchronisation licence
and it is a separate agreement. Ask us first;
(c) edit, remix, sample, re-record, translate, mash up or otherwise alter the
Material, or add your own branding, voice-over, drops or tags to it,
except for ordinary broadcast edits for time or language;
(d) pass the files, or the download links we send you, to anyone else,
including within your own organisation beyond those who need them for the
stated purpose;
(e) sell, sub-licence, rent or otherwise commercialise the Material;
(f) use the Material in a way that suggests JXPERU or Root Access Music
endorses a product, service, political party, candidate or campaign;
(g) claim ownership of the Material, or register it with any content
identification, distribution or collection service as yours;
(h) use the Material after we withdraw permission under clause 7.
4. CREDIT
Credit the recordings as "JXPERU (Root Access Music)". Where a photographer is
named alongside an image, credit them too. Do not crop, obscure or remove any
logo, watermark or credit that forms part of the Material.
5. OWNERSHIP
Nothing here transfers any ownership. All rights in the Material, including
copyright in the sound recordings, the underlying works, the artwork and the
photographs, remain with Root Access Music and its licensors. This licence
gives you permission to use, not to own.
6. ROYALTIES AND REPORTING
This licence does not waive any royalty, public performance, mechanical or
neighbouring right. If you broadcast the recordings, you remain responsible
for reporting the usage and for any payment due to the relevant collective
management organisation under Kenyan law or the law that applies to you.
7. WITHDRAWAL
We may withdraw this licence at any time, for any reason, by telling you. The
download links we issue expire on their own, and we can disable them earlier.
On withdrawal you must stop using the Material and delete the files, except
that you need not recall material already broadcast or already in print.
8. TRACEABILITY
Files we send you are marked with a reference that identifies the request they
were released against, and we log every download. If the Material appears
somewhere it should not, that record is how we trace it. Do not remove or
alter those markings.
9. YOUR ASSURANCES
You confirm that the information you gave us is true, that you are who you say
you are, and that you will use the Material only as described in clause 2.
10. NO WARRANTY
The Material is provided as it is. We do not promise it is fit for any
particular purpose, and we are not liable for any loss arising from your use
of it, except where liability cannot be excluded by law.
11. LAW
This licence is governed by the laws of Kenya, and the courts of Kenya have
exclusive jurisdiction over any dispute arising from it.
12. RECORD OF THIS AGREEMENT
When you accept, we record your name, email address, organisation, stated
purpose, IP address, the date and time, and the version and fingerprint of the
exact text you accepted. That record is evidence of this agreement. Ask us and
we will send you a copy.
